These Terms & Conditions ("Terms") govern your access to and use of the Baji software service ("Baji", the "Service"), operated by Khaled Atieh ("we", "us", "our"), a sole proprietor trading as Baji. By creating an account, subscribing, or otherwise using the Service you agree to these Terms.
1. The Service
Baji is a software-as-a-service platform that lets local businesses in Kuwait create and sell prepaid packages, issue digital passes to their customers, and manage redemptions across their branches. Features available to you depend on the subscription plan you purchase.
2. Eligibility & account
You must be at least 18 years old and have authority to bind your business (if signing up on behalf of one) to use Baji. You are responsible for keeping your account credentials confidential and for all activity that happens under your account. You agree to provide accurate information and keep it up to date.
3. Acceptable use
You must not, and must not permit anyone else to:
- use Baji for any unlawful purpose or in breach of applicable law;
- commit fraud, send spam, or engage in deceptive commercial practices;
- infringe any third party's intellectual property, privacy, or other rights;
- upload malware or interfere with the security or integrity of the Service (including probing, scanning, scraping, or bypassing rate limits or access controls); or
- resell, sublicense, or redistribute the Service, or attempt to reverse engineer it.
4. Payments, subscription and refunds
Our order process is conducted by our online reseller Paddle.com. Paddle.com is the Merchant of Record for all our orders. Paddle provides all customer service inquiries and handles returns. Payment, billing, applicable taxes, subscription renewal, cancellation and refund mechanics are governed by the Paddle Buyer Terms and our Refund Policy.
5. Intellectual property
Baji, including its software, design, and branding, is owned by Khaled Atieh and protected by applicable intellectual property laws. Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable right to use the Service during your active subscription. You retain ownership of the content you upload (business details, customer records, package designs), and grant us a limited licence to host and process it solely to provide the Service to you.
6. Service availability & warranties
We work hard to keep Baji available and reliable, but we do not guarantee uninterrupted or error-free operation. To the fullest extent permitted by law, the Service is provided "as is" and we disclaim all implied warranties, including merchantability and fitness for a particular purpose. Nothing in these Terms excludes liability for fraud, death, or personal injury caused by negligence, or any other liability that cannot be excluded under applicable law.
7. Liability
To the fullest extent permitted by law, our aggregate liability arising out of or relating to the Service in any 12-month period is limited to the fees you paid us for the Service in the 12 months preceding the event giving rise to the claim. We are not liable for indirect, consequential, incidental, or special damages, including loss of profits, revenue, data, or goodwill.
8. Suspension & termination
We may suspend or terminate your access to the Service if: (a) you materially breach these Terms; (b) your subscription payment fails and is not remedied within a reasonable period; (c) we reasonably believe your use poses a security, legal, or fraud risk to us or others; or (d) you repeatedly or seriously violate our policies. You may cancel your subscription at any time via your billing portal. On termination your right to use the Service ends immediately; you may request an export of your data within 30 days, after which we may delete it.
9. Changes
We may update these Terms from time to time. Where changes are material we will give you reasonable notice by email or in-product. Continued use of the Service after the effective date constitutes acceptance of the updated Terms.
10. Governing law
These Terms are governed by the laws of the State of Kuwait. The courts of Kuwait have exclusive jurisdiction over any dispute arising out of or relating to these Terms or the Service, without prejudice to any mandatory consumer protection rights that apply where you live.
